Closed Session – March 15, 2021 – Randolph Health
At 11:04 a.m., the Board convened in closed session for the purpose of discussing
competitive healthcare activities by or on behalf of Randolph Health. Chairman Darrell Frye,
Vice-Chairman David Allen, Commissioner Kenny Kidd, Commissioner Hope Haywood, and
Commissioner Maxton McDowell were present. Finance Officer Will Massie, Clerk to the Board
Dana Crisco, and Associate County Attorney Aimee Scotton joined the meeting by Zoom video
call. Also present were County Manager Hal Johnson and Deputy Clerk to the Board Sarah Pack
Clerk. Additionally, Representatives Pat Hurley and Allen McNeil and Senator Dave Craven were
present. Information Technology Director Michael Rowland was present for technical support.
County Attorney Ben Morgan entered where noted. Required social distancing was maintained
throughout the meeting due to the COVID-19 pandemic.
Chairman Frye said there had been no change in the bankruptcy status of Randolph Health.
There are extensive lawyer and consulting fees being paid out monthly by Randolph Health.

Chairman Frye stated that the State will likely not approve a loan to the County for the $20
million Rural Healthcare Stabilization Act. A letter has been sent to the Local Government
Commission asking for them to make a decision regarding the status of the loan application.
Mike Sarian of American Healthcare Systems has proposed asking the County for capital
expenditure monies should the loan not be approved. To this point, no proof of funding or
financing ability has been provided by Mr. Sarian. The County does not have the capability to
determine the purchasing ability of Mr. Sarian.
At 11:48 a.m., discussion on this topic ended to address another economic development project
in Closed Session.
