010620 Randolph Health Closed Session – Randolph Health — January 6, 2020 At 8:45 p.m., the Board convened in closed session pursuant to North Carolina General Statutes Section 143-318.11 for the purpose of discussing competitive healthcare activities by or on behalf of Randolph Health, which discussion is privileged and confidential pursuant to North Carolina General Statutes Section 131E-97.3, as is permitted by North Carolina General Statutes Section 143-318.11(a)(4). Chairman Darrell Frye, Vice-Chairman David Allen, and Commissioners Kenny Kidd, Maxton McDowell, and Hope Haywood were present. Also present were County Manager Hal Johnson, Finance Officer Will Massie, County Attorney Ben Morgan, Associate County Attorney Aimee Scotton, Deputy Clerk to the Board Sarah Pack, and Clerk to the Board Dana Crisco. Chairman Frye gave an update on Randolph Health. He said that Nexsen Pruet Attorney Christine Myatt had seen a draft copy of the application for Randolph Health to submit for the Rural Health Care Stabilization program. He expressed concern that the Board had no input in the application process. After a conversation with Mr. Louis Robichaux, Senior Managing Partner, Ankura, a consulting firm employed by Randolph Health, Chairman Frye felt like things were moving forward without any knowledge of this Board as well. The Board was in consensus that Chairman Frye would address the Randolph Health Restructuring Committee about the need for better inclusion of Randolph County representatives during development of all matters relative to the pending application.
