Closed Session – February 23, 2021 – American Healthcare Systems/Randolph Health
At 10:02 a.m., the Board convened in closed session to discuss for the purpose of
discussing competitive healthcare activities by or on behalf of Randolph Health. Chairman Darrell
Frye, Vice-Chairman David Allen, Commissioner Kenny Kidd, Commissioner Hope Haywood,
and Commissioner Maxton McDowell were present. Also present were County Manager Hal
Johnson, Finance Officer Will Massie, and Deputy Clerk to the Board Sarah Pack Clerk.
Representatives Pat Hurley and Allen McNeil were present as well. Associate County Attorney
Aimee Scotton, Clerk to the Board Dana Crisco, and Senator Dave Craven joined the meeting via
Zoom video conferencing software. Founder of American Healthcare Systems (AHS) Mike
Sarian, AHS Corporate Senior Vice President of Clinical Operations Vishal Adeshara, MBBS,
MPH, and future Randolph Health CEO Tim Ford attended as well. Information Technology
Director Michael Rowland was present for technical support. Required social distancing was
maintained throughout the meeting due to the COVID-19 pandemic.
Mr. Sarian introduced himself and his colleagues and described his professional history,
including major career highlights. He discussed his plan for Randolph Hospital, including adding
a psychiatric unit, streamlining operations, appointing new leadership, and cutting costs where
needed.
Chairman Frye informed Mr. Sarian of the County’s involvement with the hospital over the
past three years, including through the bankruptcy process. He detailed the process of applying
for the Rural Healthcare Stabilization Fund money from the County’s perspective. If the $20
million loan is approved, the money will be repaid by taxpayers.
At this time, UNC Healthcare has not approved the application. The decision to lend ultimately
lies in the hands of the Local Government Commission. Chairman Frye explained that the County
does not have decision-making power in this process.
Mr. Sarian said that he is committed to Randolph Hospital. If the $20 million is not approved,
AHS will continue to investigate options to acquire ownership of Randolph Hospital. He has
already invested nearly $2 million as a down payment. If the $20 million is approved, the money
will be used for capital expenditures. The closing date for the sale of the hospital is not yet known,
but Mr. Sarian said he is committed and ready to move forward.
At 11:53 p.m., on motion of Allen, seconded by Haywood, the Board voted unanimously to end
closed session and return to open session.
